Terms and Conditions of Sale
Maison Boinet is a web platform, accessible at at www.maisonboinet.fr (the "Site") operated by SAS Boinet, a joint stock company capitalized at €1,409,500, with its head office located at 29, rue Velpeau in Château-Renault (37110), listed on the trade and companies register of Tours under identification number 483 880 456 whose intracommunity VAT number is FR05483880456 (the "Seller").
On the Site, the Seller offers to sell various fashion items and accessories, (the '”Article(s)") that any user of the Site, satisfying the corresponding eligibility conditions, can buy online (the “Customer(s)").
These Terms and Conditions of Sale apply, without restriction or reservation and to the exclusion of any other conditions, to all sales of items agreed by the Seller to Customers. They are intended to govern their contractual relationship.
They specify, in particular, conditions for the order, payment, delivery and management of any possible returns of the Items ordered by the Customer.
The Customer acknowledges that he/she has the capacity to contract and acquire the Items and declares that he/she has read these Terms and Conditions of Sale and accepted them by checking the box provided for this purpose before the implementation of the online ordering process.
Article 1 – The Items
1.1. General provisions
The main characteristics of the Items, which the Customer is required to read before any order is placed, are presented on the Site.
The photographs and graphs presented on the Site, in particular showing the Items, are not contractual and do not incur the liability of the Seller.
The offers of Items are understood as in accordance with the stock available as specified when placing the order and are offered for sale for mainland France.
1.2. Customization of Items
On the Site and depending on the items in question, the Customer has the option of customizing items with engravings.
Customization assumes that the Customer completes the form provided for this purpose on the Site, communicates any information needed, including the text to be engraved on the Items and pays the price as per the conditions set out in Articles 2 and 4. No additional steps are required in the order process. The Customer cannot accordingly claim a sign-off or any equivalent document from the Seller before paying their order on the Site.
The information provided by the Customer are their sole responsibility. It is therefore up to the Customer to check its accuracy. This information, including all text, must not be likely to prejudice public order or good morals, cause protests by third parties, or contravene the legal provisions in force.
The Seller reserves the right to refuse any content that it feels does not comply with the laws or regulations in force.
The Customer is informed that, despite the care and professional requirements of the Seller, differences of tone and color and/or positioning may appear once the Items are manufactured. These differences are due to various reasons beyond the Seller's control. Accordingly, the Customer declares to waive any action against the Seller as such.
Article 2 - Orders
The selection and purchase of an Item is under the sole responsibility of the Customer, who must check the accuracy of the order and immediately report any errors.
The sale will be considered final only after confirmation of acceptance of the order is sent by email by the Seller to the Customer.
Once the order is final, no change request can be sent to the Seller (including, any changes to the text to be engraved or other).
Article 3 - Prices
The Items are sold at the prices in effect that appear on the Site during the registration of the order by the Seller. Prices are in euros and include all taxes.
The prices include any reductions granted by the Seller on the Site. All prices are final and are not subject to revision during their valid period as indicated on the Site and the Seller reserves the right, beyond such valid period, to change at its discretion the prices at any time.
Prices do not include processing, shipping, transportation and delivery costs, which are charged in addition, under the conditions indicated on the Site and calculated before placing the order. The payment required from the Customer is the total amount of the purchase, including these costs.
An invoice is sent electronically by the Seller and delivered to the Customer upon placement of the order for the Items.
Article 4 - Payment conditions
The price is payable through secure payment, as follows:
Credit card: Carte Bleue (CB), Visa ™, MasterCard ™.
The payment data is exchanged in encrypted mode.
For online payments, and to fight against fraud, payment control will be done in line with the competent institutions and banking organizations, processed via the Systempay system developed by the Banque Populaire company. The latter will provide storage and automated processing of information relating to each order including details of credit cards used in a secure environment.
The Seller will not be required to deliver the Items ordered by the Customer if the latter does not pay the price in full in accordance with the conditions indicated above. The payments made by the Customer will not be considered final until the Seller’s has effectively received the amounts due.
Furthermore the Seller reserves the right, in case of non-compliance with the payment terms indicated above, to suspend or cancel the delivery of orders made by the Customer.
Article 5 – Deliveries
5.1. Place of delivery
The items ordered by the Customer are delivered in mainland France to the address indicated by the Customer when ordering on the Site.
Except in special cases or due to unavailability of one or more Items, the Items ordered are delivered in a single shipment.
Deliveries are made by an independent carrier, to the address given by the Customer when the order is placed and which may be easily accessed by the carrier. The Customer is informed that carriers do not guarantee a delivery to upper storeys.
The carrier will deliver to the address specified by the Customer.
In any case, in compliance with the provisions of article L. 216-1 and L. 216-4 of the French Consumer Code, the delivery as well as the risk of loss of or damage to the Items are transferred to the Customer or a third party designated by them through the physical possession or control of the Items.
5.2. Delivery costs
The order includes delivery costs calculated according to the address given by the Customer and the delivery method chosen by the Customer when ordering.
In case of a specific request by the Customer regarding the packaging or transportation conditions of the Items ordered, duly accepted in writing by the Seller, the costs of this request will be subject to specific additional billing.
5.3. Delivery times
Processing and routing times specified on the Site and / or when placing the order are only indicative.
However, in the event that the Items ordered are not delivered within 30 days after the stated delivery date for any reason other than force majeure or for reasons attributable to the Customer, the sale may be canceled upon written request by the Customer in accordance with the provisions of Articles L. 216-2, L. 216-3 and L. 241-4 of the French Consumer Code. The amounts paid by the Customer will thus be refunded at the latest within fourteen days following the contract termination date, with the exception of any compensation or deduction.
The Seller may not be held liable in case of delay in delivery and this situation cannot give rise to the payment of damages to the Customer.
5.4. Reservations
In the event of damage or dispossession observed on Items during the delivery, the Customer must report any reservations observed to the Seller, within a period of 24 hours, by registered mail with acknowledgement of receipt, by attaching all receipts related to the identified reservations.
Should the previous formality be omitted, the Items are deemed to have been delivered in good condition and no claim will be made by the customer.
When the Customer decides to take a carrier chosen by themselves, the delivery is deemed made upon delivery by the Seller of the Items ordered to that carrier, pursuant to the provisions of articles L. 216-1 and L. 216-4 of the French Consumer Code. The Customer acknowledges then that it is the carrier that will make the delivery and that they cannot initiate claims against the Seller in the event of the Items transported not being delivered.
6.1. Principle
In accordance with legal provisions in effect, the Customer has a period of fourteen days from receipt of the Item to exercise their right to withdraw with the Seller, without having to provide any reason or pay any penalty, in order to exchange the Item or receive a refund, provided that the Items are returned in their original packaging and in perfect condition within the 14 days following notification to the Seller of the decision to withdraw.
Returns must be made in their original condition and complete (packaging, accessories, instructions, etc.) allowing them to be resold in new condition, along with the purchase invoice. Items that are damaged, soiled or incomplete will not be taken back.

In case the right to withdraw is exercised within the aforementioned period, only the price of the returned Items and delivery costs incurred will be reimbursed; the return costs are borne by the Customer.
The exchange (subject to availability) or refund will be made within 14 days following receipt by the Seller of the Items returned by the Customer in accordance with this article.
6.2. Exception
As an exception to the principle set out in Article 6.1 above, pursuant to Article L. 221-28 of the French Consumer Code, the Customer has no right of withdrawal for the supply of goods made to its specifications or clearly customized, or goods which were unsealed after delivery and may not be returned for hygiene or health protection reasons. Subsequently, the Customer will not be able to retract its commitment for all orders of Items satisfying the exceptions stated in article L. 221 - 28 of the aforementioned code.
Article 7 - Warranty - Seller’s Liability
The Items sold by the Seller benefit from the following, automatically and without additional payment, regardless of the right to withdraw, in accordance with legal provisions:
the legal guarantee of conformity referred to in Articles L. 217-4 to L. 217-14 of the French Consumer Code; and
the legal guarantee against hidden defects indicated in articles 1641-1648 of the Civil Code which make the Item sold so unsuitable or diminish its use to such an extent that the Customer would not have purchased or would have given a lower price had they known about them.
The responsibility of the Seller will not be incurred in the following cases:
Non-compliance with the legislation of the country in which the Items are delivered, and
in case of misuse, use for professional purposes, neglect or lack of maintenance by the Customer, as well as in cases of normal wear of the Item, accidents or force majeure.
In case of lack of conformity, the Customer will choose between the repair and replacement of the Item (except as provided in Article L. 217-10 of the French Consumer Code). However, the Seller may not proceed according to the choice of the Customer if this choice involves a manifestly disproportionate cost in relation to the other choice, given the value of the Item or the significance of the defect. The Seller will then be required to proceed, unless impossible, in accordance with the other modality not chosen by the Customer.
In case of a hidden defect, the Customer has the choice of returning the Item and having the price refunded, or keeping the Item and having part of the price refunded, as determined by assessors.
Article 8 - Data Protection
Pursuant to the Act No. 78-17 of January 6, 1978, it is recalled that the personal data requested from the Customer is required, in particular, to process the order and prepare invoices.
The conditions of the processing of personal data by the Seller are specified in the general terms of use of the Site available here.
This data may be communicated to any partners of the Seller responsible for the implementation, processing, management and payment of the orders.
The Customer has, in accordance with national and European regulations in effect, a permanent access right for the modification, rectification and opposition of information concerning them.

A reply to the Customer's request will be sent within 30 days.
Article 9 - Intellectual Property
The content of the Site is the property of the Seller and its partners and is protected by French and international laws on intellectual property.
Total or partial reproduction of this content is strictly prohibited and may constitute copyright infringement.
Article 10 - Applicable Law - Language
These Terms and Conditions of Sale and operations arising from them are governed by and subject to French law.
In the event that these conditions are translated into one or more foreign languages, only the French text will prevail in case of a dispute.
Article 11 - Disputes
Any dispute regarding the validity, execution or interpretation of this Contract that would be brought before civil courts will be subject to the exclusive jurisdiction of the French courts to which assignment of jurisdiction is expressly granted.
The Customer is informed that they may in any case resort to a conventional mediation or any alternative dispute resolution (such as conciliation) in case of any dispute.
Article 12 - Precontractual Information - Customer’s acceptance
The Customer acknowledges they have received notice, prior to placing the order, in a legible and understandable manner, of these Terms and Conditions of Sale and all information and indications referred to in Articles L111-1 to L111-8 of the French Consumer Code, and in particular:
- the essential characteristics of the Items ordered, given the communication medium used and the Items in question;
- the price of the Items and related charges (delivery, for example);
- in the absence of immediate execution of the contract, the date or the time at which the Seller agrees to deliver the Items ordered;
- information relating to the identity of the Seller, their postal, telephone and email address details, and their activities, if they are not evident from the context;
- information on legal and contractual guarantees and their means of implementation;
- the possibility of using conventional mediation in the event of a dispute;
- information about the right of withdrawal (existence, terms, time, how to exercise this right and withdrawal form), the cost of returning the Items, the terms of termination and other important contractual conditions.
The fact of placing an order on the Site implies full acceptance of these Terms and Conditions of Sale, expressly acknowledged by the Customer, who waives, in particular, the right to take advantage of any contradictory document, which would be unenforceable against the Seller.
Information regarding the right of withdrawal
Right of withdrawal
You are entitled to withdraw from this contract without giving any reason within a period of fourteen days unless the legal exceptions provided for in Article 221-28 of the French Consumer Code are intended to apply.
The withdrawal period ends fourteen days after the day you yourself, or a third party other than the carrier and indicated by you, acquires physical possession of the Item.
To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post, fax or email). You can use the withdrawal form template, but this is not mandatory.
In order for the withdrawal period to be complied with, it is sufficient for you to transmit your notification regarding the exercise of the right to withdraw before the expiration of the withdrawal period.
Withdrawal effects
In case of withdrawal from your part of this contract, we will reimburse all payments received from you, including the costs of delivery (with the exception of additional costs if you chose, the case being, a delivery method other than the least expensive standard delivery mode proposed by us) without undue delay and in any event, no later than fourteen days from the day we are informed of your decision to withdraw from this contract. We will proceed with the refund using the same payment method that you used for the initial transaction, unless you expressly agree to a different method. In any event, such refund does not result in any fees for you.
We may withhold the refund until we have received the Items or until you have provided proof of the shipment, whichever is the earliest.
You will need to return or hand them over to us without undue delay and in any event not later than fourteen days after you have informed us of your decision to withdraw from this contract. This deadline is considered met if you send back the items before the expiration of the fourteen day period.
You must pay the direct cost of returning the items.
Your responsibility is incurred only in respect of the depreciation of the items resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of such Items.

- Buying Process: creating the customer account
Creating an account allows you to complete your purchase by creating a reusable CUSTOMER ACCOUNT which will then allow you to identify yourself via your email and personal password to complete your subsequent transactions but also update your information, find your order history, invoices and address books.
Creating your customer account implies your consent to the collection and processing of information: name, email, title, address, postal code, city, telephone number.
This information is collected in accordance with our legitimate interest to be able to create and manage your account, which will allow us to ship your order, issue your invoice, obtain statistical information and, where applicable, offer automated processing or profiling as part of our marketing policy in order to provide you with services or complementary offerings.

Our platform manages the following mailing list:

5. Recipients
Maison Boinet is the sole recipient of your personal information. This information, in individual or aggregate form, is never passed to a third party, notwithstanding subcontractors which Maison Boinet may call on (you will find more information on their subject in point 7 below). Neither Maison Boinet nor any of its subcontractors, market the personal data of the visitors and users of its Site.
6. Storage time
Your Personal Information is kept by Maison Boinet as long as necessary in order to perform the related activities - except for an account closure request and to exercise your right to be forgotten - and in compliance with and within the limits of legal obligations to store documents relating to these activities.
Thus a customer account with no activity observed beyond 3 years could be closed and their data anonymized.
7. Use of data collected outside our platform
Data collected by our platform is under no circumstances sold or traded to third parties. It can however, and where applicable, be used and transferred to third-party applications as part of different processing operations:
- For processing of the bank transaction, when buying online
--> When buying online by credit card, data necessary to process your order (surname, first name, email) is sent securely to the SYSTEMPAY banking platform in charge of processing. No banking data is collected or stored on our platform during this procedure.
- As part of the routing of transactional emails
--> In order to optimize the sending of our transactional emails (confirmation of account creation, order confirmation, shipping of the order, etc.), they are sent from our server hosted at Gandi via the Postfix mail server. - As part of the operation of mailing lists
--> To operate and manage (unsubscribe) mailing lists and route the relevant information. - For the analysis or study of our sales and our customers

8. Response time
Maison Boinet undertakes to respond to your request for access, rectification, opposition, or any other request for additional information within a reasonable period of time, which may not exceed 1 month from the receipt of your request.
